What CPEO status means

The IRS CPEO program is voluntary. Certification is tied to statutory and regulatory requirements involving matters such as financial responsibility, organizational integrity, tax compliance and other program criteria.

Certification can have specific federal employment-tax consequences. An employer should therefore avoid assuming that a general marketing description or an industry label answers a certification question.

How to verify a specific status

The IRS maintains public CPEO listings and updates the published information periodically. An employer evaluating a provider can consult the IRS listing rather than relying on an old marketing statement or a search snippet.

The practical question for an employer

The right question is not simply, “Is this company a PEO?”

The more precise questions are:

  • What services are being provided?
  • What entity is entering the agreement?
  • Does CPEO status apply to the relevant entity?
  • What does the current IRS listing show?
  • How does the actual agreement allocate employment-tax responsibilities?
